1. Introduction
Independent Contractors Network, Inc. (“ICN”) through the Loadchief platform found at www.LOADCHIEF.com (“LOADCHIEF”) connects professional courier, package delivery and logistics companies (each a “DELIVERY COMPANY”) to professional, vetted, independent contractor owner drivers (each a “INDEPENDENT CONTRACTOR”)(together “USERS” or alone, a “USER”), using real time postings to create a marketplace of independent drivers free of a single point of employment.
The LOADCHIEF website is designed to enable LOADCHIEF system USERS to interact with one another in such a manner so that INDEPENDENT CONTRACTORS can act independently. INDEPENDENT CONTRACTORS schedule their routes by accepting pick-up and delivery assignments from any number of DELIVERY COMPANIES. DELIVERY COMPANIES post jobs for bidding in search of INDEPENDENT CONTRACTORS within close proximity to accept LOADCHIEF Jobs.
Important: LOADCHIEF does not act as an employer or employment agency, nor does it have an employer-employee relationship with any INDEPENDENT CONTRACTOR.
A. Purpose
The system established by LOADCHIEF is intended for the DELIVERY COMPANY to take the guesswork out of setting up their own system and access to INDEPENDENT CONTRACTORS. For the INDEPENDENT CONTRACTOR, it is intended to enable them to be independent of any one DELIVERY COMPANY, freeing them to accept more assignments in a coordinated effort to increase efficiencies and eliminate “deadheading” assignments.
B. Scope and Intent
You agree that as a USER, or by using our website, including, when applicable, our mobile applications, developer platform, premium services, or other information provided as part of the LOADCHIEF services (collectively, the “Services”), you are entering into a legally binding agreement with Independent Contractors Network, Inc.
By clicking “Join Now”: You acknowledge that you have read and understood the terms and conditions of this Agreement and that you agree to be bound by all of its provisions.
2. Your Obligations
A. Applicable Laws and This Agreement
You must comply with all applicable laws and this Agreement, as may be amended from time to time with or without advance notice, and the policies and processes explained in the following sections:

B. License and Warranty for Your Being a USER
You own the information you provide LOADCHIEF under this Agreement, and may request its deletion at any time, unless you have shared information or content with others and they have not deleted it, or it was copied or stored by other users.
Additionally, you grant LOADCHIEF a nonexclusive, irrevocable, worldwide, perpetual, unlimited, assignable, sublicenseable, and royalty-free right to use, to copy, prepare derivative works of, improve, distribute, publish, remove, retain, add, process, analyze, and commercialize, in any way now known or in the future discovered, any information you provide.
C. Service Eligibility
To be eligible to use the Services, you must complete a USER Application providing your personal profile information to be submitted to LOADCHIEF for review and acceptance, and meeting the following criteria:
- Are the “Minimum Experience Level”
- Are not currently restricted from the Services
- Are not a competitor of LOADCHIEF
- Will only maintain one USER account at any given time
- Will use your real name and only provide accurate information
- Have full power and authority to enter into this Agreement
- Will not violate any rights of LOADCHIEF or third party
- Agree to provide at your cost all equipment and software necessary
D. Your USER Information
The profile you create with LOADCHIEF will become part of a LOADCHIEF Contacts Database owned by LOADCHIEF. As between you and other USERS, your LOADCHIEF Account and your CRM Account belong to you, such that you agree to:
- Keep your password secure and confidential
- Not permit others to use your Accounts
- Not use other’s Accounts
- Not sell, trade, or transfer your Accounts to another party
- Not charge anyone for access to any portion of LOADCHIEF
E. Indemnification
Important: You agree to indemnify, defend, protect and hold LOADCHIEF harmless from and against all debts, obligations, losses, claims, damages, liabilities, and other expenses (including reasonable attorneys’ fees and costs) of any nature arising from your use of the service.
F. Maintenance of Insurance
INDEPENDENT CONTRACTOR shall maintain public liability and property damages insurance in such amounts as are required by the United States Department of Transportation (“DOT”) and applicable state regulatory agencies.
G. Insurance Requirements
INDEPENDENT CONTRACTOR shall maintain, at its sole cost and expense, the following minimum insurance coverages:
- $30,000 for bodily injury/death to one person
- $60,000 for total bodily injury/death per accident
- $15,000 for property damage
- Statutory personal injury protection
H. INDEPENDENT CONTRACTOR Fitness Warranties
INDEPENDENT CONTRACTOR warrants they are a safe, competent driver who comply with motor vehicle and safety laws and regulations, shipping customer requirements, and safe operating practices.
I. Liability Apportionment
INDEPENDENT CONTRACTOR shall be liable for, and pay, all direct, indirect and consequential damage, including but not limited to reasonable attorney fees incurred by LOADCHIEF, arising out of, or in connection with, INDEPENDENT CONTRACTOR equipment or services.
J. Activation as a USER
Becoming a USER of LOADCHIEF is conditioned upon your successful application to LOADCHIEF. You will not become a USER until your USER Application has been submitted, reviewed and accepted by LOADCHIEF.
Note: LOADCHIEF does not and will not offer refunds for any reason, including without limitation, lack of usage or dissatisfaction.
3. Your Rights
On the condition that you comply with all your obligations under this Agreement, we grant you a limited, revocable, nonexclusive, nonassignable, nonsublicenseable license and right to access the Services through a generally available web browser, mobile device or LOADCHIEF authorized application.
Prohibited: Any use of the LOADCHIEF System contrary to our mission and purpose (such as seeking to connect to someone you do not know or trust, or to use information gathered from LOADCHIEF commercially unless expressly authorized) is strictly prohibited and a violation of this Agreement.
4. Our Rights & Obligations
A. Services Availability
For as long as LOADCHIEF continues to offer the Services, LOADCHIEF shall provide and seek to update, improve and expand the Services. We allow you to access LOADCHIEF as it may exist and be available on any given day and we have no other obligations, except as expressly stated in this Agreement.
B. Third Party Sites and Developers
From time-to-time LOADCHIEF may engage third party vendors to assist LOADCHIEF and its USERS in the development of various services, each of whom will be subject to terms of this Agreement, including those concerning confidentiality.
C. Disclosure of User Information
You acknowledge, consent and agree that we may access, preserve, and disclose your registration and any other information you provide if required to do so by law or in a good faith belief that such disclosure is reasonably necessary.
D. Connections and Interactions with other USERS
Access to and use of USER Contacts and the LOADCHIEF Contact Database are as provided under this Agreement. Nothing in this Agreement prohibits one USER from contacting another USER for the purpose of doing business.
E. Intellectual Property Notices
The Services include the copyrights and Intellectual property rights of LOADCHIEF and except for the limited license granted to you in Section 3, LOADCHIEF reserves all of its intellectual property rights in the Service.
5. Disclaimer
IMPORTANT DISCLAIMER: DO NOT RELY ON LOADCHIEF OR ITS SUPPLIERS, ANY INFORMATION THEREIN, OR IT’S CONTINUATION. WE PROVIDE THE PLATFORM FOR LOADCHIEF AND ALL INFORMATION AND SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS.
LOADCHIEF DOES NOT CONTROL OR VET USER GENERATED CONTENT FOR ACCURACY. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, LOADCHIEF AND ITS SUPPLIERS DISCLAIM ANY AND ALL IMPLIED WARRANTIES AND REPRESENTATIONS.
6. Limitation of Liability
Neither LOADCHIEF nor any of our subsidiaries, affiliated companies, suppliers, employees, shareholders, or directors shall be cumulatively liable for:
- Any damages in excess of five times the most recent monthly fee that you paid for a USER Fee, if any, or US $100, whichever amount is greater
- Any special, incidental, indirect, punitive or consequential damages
This limitation of liability is part of the basis of the bargain between the parties and without it the terms and prices charged would be different.
7. Termination
A. Mutual Rights of Termination
Your LOADCHIEF Service continues until you give notice to LOADCHIEF that you are terminating as a USER. USERS may terminate this Service without cause. LOADCHIEF may terminate this Agreement and your account for any reason or no reason, at any time, with or without notice.
USER Termination Notice: Notice must be given in writing not less than 60 days prior to termination. If you exercise the right of Voluntary Termination, you have 30 days in which to reapply to be reinstated.
B. Misuse of the Services
LOADCHIEF may restrict, suspend or terminate the LOADCHIEF Account of any USER who abuses or misuses the Services. Misuse includes:
- Violating this Agreement
- Creating multiple or false profiles
- Using the Services commercially without authorization
- Infringing any intellectual property rights
CRITICAL: NO INDEPENDENT CONTRACTOR MAY SOLICIT THE BUSINESS OR CUSTOMER OF A DELIVERY COMPANY. BREACH OF THIS PROHIBITION WILL BE DEEMED A MISUSE OF SERVICES AND A BREACH OF THIS AGREEMENT.
C. Effect of Termination
Upon termination of your LOADCHIEF Account, you lose access to the Services. The terms of this Agreement shall survive any termination, except Section 3 (“Your Rights”).
8. Dispute Resolution
A. Law and Forum for Legal Disputes
This Agreement shall be governed by the laws of the state of California. Any Claim arising out of or related to this Agreement must be resolved exclusively by a state or federal court located in Los Angeles County, California.
JURY TRIAL WAIVER: You understand and agree that you are waiving any right to a jury trial and agree to have your Claim heard only by the court in its capacity as the trier of fact.
B. Remedies for Breach
Due to the unique nature of this Agreement, there can be no adequate remedy at law for any breach of the obligations set forth in this Agreement. The DELIVERY COMPANY shall be entitled to seek injunctive or other appropriate equitable relief without bond.
A breaching INDEPENDENT CONTRACTOR agrees that the minimum remedy will be measured as 25% of the gross revenue derived from such customer or business at all times, until such time as the INDEPENDENT CONTRACTOR ceases doing business with such customer.
C. Enforcement and Dispute Resolution Process
- Notice and Negotiation: 30 days for good faith negotiations
- Mediation: Through JudicateWest if negotiations fail
- Arbitration: Binding arbitration in Los Angeles County, California
9. General Terms
A. Severability
If any provision of this Agreement is found to be illegal, void, or unenforceable, the unenforceable provision will be modified so as to render it enforceable and effective to the maximum extent possible.
B. Language
Where LOADCHIEF provided you with a translation, you agree that the English language version will govern your relationship with LOADCHIEF.

D. Entire Agreement
This Agreement constitutes the entire, complete and exclusive agreement between you and LOADCHIEF regarding the Services and supersedes all prior agreements and understandings.
E. Amendments to This Agreement
We reserve the right to modify, supplement, or replace the terms of this Agreement, effective prospectively upon posting at our LOADCHIEF website, or notifying you otherwise.
10. LOADCHIEF “DOs” and “DON’Ts”
A. As a USER you agree to DO:
- Comply with all applicable laws
- Provide accurate information and update it as necessary
- Review and comply with our INDEPENDENT CONTRACTOR or DELIVERY COMPANY UNDERSTANDING
- Use the Services in a professional manner
- Provide updated information about you and any changes in your status
- Use your real name on your LOADCHIEF Profile
B. As a USER you agree DON’T do the following:
Critical Prohibitions:
- Directly or indirectly contact, solicit, or “poach” clients or customers of any DELIVERY COMPANY
- Act dishonestly or unprofessionally
- Post inappropriate, inaccurate, or objectionable content
- Create false identities or use another’s account
- Infringe intellectual property rights
- Reverse engineer or attempt to compete with LOADCHIEF
- Use automated methods to access LOADCHIEF without permission
11. Complaints Regarding Content Posted on the LOADCHIEF Website
We built LOADCHIEF to help you be a more successful professional in your business. We encourage our USERS to share truthful and accurate information. We also respect the intellectual property rights of others.
To promote these objectives, LOADCHIEF provides a process for submission of complaints concerning content posted by our USERS. Please submit complaints concerning LOADCHIEF or USER content to LOADCHIEF Corporate at the address provided in this Agreement.
